1. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of the website located at meadowhawkfc.com (the "Site"), operated by Meadowhawk Franchise Consulting Inc. ("Meadowhawk," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
These Terms apply to your use of the Site itself. They do not constitute, and are not a substitute for, any separate written agreement governing a consulting engagement between Meadowhawk and a client (see Section 3).
2. Use of the Website
You may access and use the Site for lawful purposes only, including learning about our services and submitting an inquiry through our contact form. You agree not to:
- Use the Site in any way that violates applicable law or regulation;
- Attempt to gain unauthorized access to the Site, its systems, or related networks;
- Use any automated means (bots, scrapers, crawlers) to access or extract content from the Site, except for standard search-engine indexing;
- Interfere with or disrupt the Site's operation, or introduce viruses, malware, or other harmful code;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity, when submitting information through the Site; or
- Reproduce, duplicate, copy, sell, resell, or otherwise exploit the Site or its content for any commercial purpose without our prior written consent.
We may suspend or restrict access to the Site, at our discretion, for anyone we reasonably believe has violated these Terms.
3. The Site Is Not the Engagement
The Site is provided for general informational purposes about Meadowhawk's franchise development consulting services. Nothing on the Site — including case studies, statistics, service descriptions, or anything communicated through our contact form — creates a consulting, advisory, or client relationship between you and Meadowhawk, and none of it should be relied on as professional advice specific to your situation.
An actual consulting engagement with Meadowhawk, including its scope, deliverables, fees, timeline, and mandate terms, exists only under a separate written agreement signed by both parties. If anything in these Terms conflicts with a signed engagement agreement, the engagement agreement governs for matters within its scope.
4. Intellectual Property
The Site and its content — including text, graphics, the Meadowhawk name, logo, and dragonfly/compass mark, layout, and design — are owned by Meadowhawk or its licensors and are protected by copyright, trademark, and other intellectual property laws. Except as necessary to view the Site in a standard web browser, you may not copy, modify, distribute, or create derivative works from any part of the Site without our prior written permission.
5. Submissions Through the Contact Form
Information you submit through our contact form (such as your name, company, contact details, and message) is used to respond to your inquiry, as described in our Privacy Policy. Submitting an inquiry does not create any confidentiality obligation, exclusivity, or engagement on our part unless and until we enter into a separate signed agreement with you. Please do not include information you consider highly sensitive in a contact-form submission.
6. Disclaimers
The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the Site will be uninterrupted, error-free, or secure.
Any statistics, figures, or claims referenced on the Site (for example, industry benchmarks or franchise-development figures) are provided for general illustration and are attributed to their sources where applicable; they are not guarantees of results for any particular franchisor or engagement.
7. Limitation of Liability
To the fullest extent permitted by applicable law, Meadowhawk and its officers, directors, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or relating to your use of, or inability to use, the Site — even if we have been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, our total liability arising out of or relating to the Site is limited to CAD $100. This limitation does not apply to liability that cannot be limited or excluded under applicable law, and it does not apply to a separately signed consulting engagement agreement, which is governed by its own terms.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
8. Indemnification
You agree to indemnify and hold Meadowhawk and its officers, directors, and employees harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your violation of these Terms or your misuse of the Site.
9. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the courts located in Toronto, Ontario, and you consent to the personal jurisdiction of those courts.
This applies regardless of where you access the Site from, including from the United States. A separate consulting engagement agreement may specify a different governing law or venue for that engagement, in which case its terms govern for that engagement.
10. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "Effective date" above and, where appropriate, provide additional notice on the Site. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
11. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Meadowhawk regarding use of the Site, and supersede any prior agreements on that subject. They do not supersede a separately signed consulting engagement agreement.
